The site is general information, not advice
Articles, glossary entries, framework summaries, scenarios and tool results on this site are general information. They are not legal, tax, accounting, audit or investment advice, and they are not a substitute for advice on your own facts. Laws and standards change, and a page may not reflect a change made after its stated date. Before you act on anything here, check the primary source and take advice from a qualified professional who knows your situation.
Using the site creates no professional relationship
Reading the site, using a tool, sending the inquiry form or exchanging emails with us does not make you a client and does not create an advisory or other professional relationship. A relationship starts only when we both sign an engagement agreement, and that agreement then governs the work. Please do not send confidential information until it is in place.
We are not a CPA firm or a law firm
Finance Ethics is not a CPA firm and does not perform audits, reviews, compilations or any other attest engagement. Nothing on this site is, or should be read as, an audit opinion or other assurance. We are not a law firm and do not give legal advice. We do not sell financial products or give investment advice. We work alongside clients' auditors, lawyers, lenders and boards: SOX & ICFR readiness work, for example, prepares a company for an audit that someone else performs. Our principles set out these limits and the other policies we hold ourselves to.
Free tools give informational results
Our free tools, the Controls Health Self-Check, the Segregation-of-Duties Conflict Finder and the Single Audit Threshold Checker, run in your browser on the answers you give. Their results are informational. They are not an assessment of your controls, an audit determination or a conclusion about your obligations, and their accuracy depends on your inputs. Your auditor, counsel and the relevant agencies decide what applies to you.

The scenarios on this site are composites built from patterns common in this kind of work. They do not describe any real client, and any resemblance to a real organization is coincidental.
Intellectual property
The text, illustrations, tools, data files, design and code of this site belong to Finance Ethics LLC or its licensors and are protected by copyright and other laws. You may view, print and share pages for your own internal, non-commercial use, and quote short passages with attribution and a link. You may not republish, sell or reuse substantial parts of the site, copy the tools or their question sets into another product, or remove copyright notices without our written permission. "Finance Ethics", "Open Ledger Method" and "Integrity Center" are names we use for our business and services.
Acceptable use
Do not use the site to break the law, to send malicious code, to probe or overload its systems, to scrape it in bulk, or to submit information you have no right to share. We may block access that puts the site or its users at risk.
Links to other sites
We link to laws, regulators and other publishers so you can check our sources. We do not control those sites and are not responsible for their content, availability or privacy practices. A link is not an endorsement.
Disclaimers
We work to keep the site accurate and current, but it is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose and non-infringement. We do not promise that the site or the tools will be uninterrupted or free of errors.
Limitation of liability
To the fullest extent the law allows, Finance Ethics LLC and its members, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the site or the tools, or from reliance on anything on it. Our total liability for any claim arising from use of the site is limited to one hundred US dollars. Some jurisdictions do not allow certain limits, so some of these may not apply to you. These limits do not affect work done under a signed engagement agreement, which has its own terms.
Indemnity
If you use the site in breach of these terms or the law and a claim is brought against us as a result, you agree to cover our reasonable losses and costs arising from that claim.
Governing law and venue
These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising from the site or these terms will be heard in the state or federal courts located in Laramie County, Wyoming, and you and we consent to their jurisdiction.
Changes and general terms
We may update these terms by posting a new version on this page with a new date. Continued use of the site after a change means you accept the updated terms. If a court finds any part of these terms unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver of it. Our privacy policy explains how we handle personal information.
